ZIVUX.AI Terms of Service
These Terms of Service ("Terms") govern your access to and use of ZIVUX.AI (the "Service") provided by Proeffico Solutions Pvt Ltd ("ZIVUX", "we", "us"). By creating an account or using the Service you agree to these Terms.
1. Account & Eligibility
You must be at least 18 years old and legally able to enter contracts in your jurisdiction. You are responsible for safeguarding your account credentials and for all activities under your account.
2. Subscription & Billing
The Service is offered on a monthly or annual subscription basis. Fees are exclusive of taxes (18% GST applicable in India). Subscriptions auto-renew unless cancelled prior to the renewal date. Refunds for monthly plans are not provided after the start of a billing cycle. Annual plans are non-refundable after 14 days from the start of the annual term.
3. Free Trial
We offer a 14-day free trial without requiring a credit card. At the end of the trial, your account moves to read-only unless you select a paid plan. Data is preserved for 30 days post-trial.
4. Acceptable Use
You agree not to: (a) use the Service for unlawful, harmful or abusive purposes; (b) violate the privacy rights of any individual; (c) send unsolicited bulk communications (spam); (d) attempt unauthorised access to the Service or its underlying systems; (e) reverse-engineer, decompile or copy the Service; (f) use the Service to transmit malware. Violations may result in immediate account suspension.
5. Customer Data
Customer Data is and remains your property. We process it solely to provide the Service per your instructions. You are responsible for the lawful collection, use, and disclosure of Customer Data. We provide a Data Processing Agreement (DPA) on request for customers with statutory requirements.
6. Intellectual Property
The Service, including all software, designs, documentation and brand assets, is and remains the exclusive property of Proeffico. We grant you a limited, non-exclusive, non-transferable license to use the Service per these Terms during your subscription period.
7. Service Levels
For Grow plans we target 99.5% uptime. For Scale plans we commit to 99.9% uptime measured monthly, with service credits issued for breaches per the SLA addendum. Scheduled maintenance windows are notified at least 48 hours in advance.
8. Support
Support is provided via email (all plans), chat (Grow and Scale), and phone (Scale). Response times are: Spark — 24 hours; Grow — 4 hours; Scale — 1 hour during business hours.
9. Termination
You may cancel any time from within the platform. Upon cancellation, you may export your data as CSV/Excel for 30 days. After 30 days, data is permanently deleted. We may suspend or terminate accounts that violate these Terms or that are 30+ days past due on payment.
10. Confidentiality
Each party agrees to keep the other party's confidential information confidential and to use it solely to perform under these Terms.
11. Indemnification
You agree to indemnify Proeffico against claims arising from your misuse of the Service, your violation of these Terms, or your violation of applicable law.
12. Limitation of Liability
To the fullest extent permitted by law, Proeffico's aggregate liability under these Terms is limited to the fees paid by you in the 12 months preceding the claim. We are not liable for indirect, incidental, consequential or punitive damages.
13. Governing Law & Disputes
These Terms are governed by the laws of India. Any disputes will be resolved exclusively in the courts of New Delhi.
14. Changes to these Terms
We may update these Terms. Material changes will be notified by email at least 30 days in advance. Continued use after the effective date constitutes acceptance.
